TERMS & CONDITIONS

Between the Sarah Wong Photography and Client, it is agreed that Sarah Wong Photography will provide the following services: guidance and direction before, during, and after your session, coverage as discussed for your session package, and a online photo viewing/download gallery via private link.

Agreement: The person whose signature appears on contract, known as "Client", agrees that Sarah Wong, known as "Photographer", shall provide services to photograph their portrait session and related events to the best of her abilities, in the manner described in this document. This is a binding contract that incorporates the entire understanding of the parties, and any modifications must be in writing, signed by both parties, and physically attached to the original agreement. Client assumes responsibility for all collection costs and legal fees incurred by Photographer should enforcement of this contract become necessary. In the event that any part of this Agreement is found to be invalid or unenforceable, the remainder of this Agreement shall remain valid and enforceable. Any failure by one or both parties to enforce a provision of this Agreement shall not constitute a waiver of any other portion or provision of this agreement.

Payment: The session payment due for the photography services must be paid in full on the day of the session unless otherwise prior arrangements are made noted in writing. In the event Client fails to conduct payment as specified, the Photographer shall have the right to immediately terminate this Agreement and withhold photos from Client. Sarah Wong Photography accepts payments via cash, check, and direct bank deposit after invoice is sent.

Coverage: Photographer will provide coverage for the dates, locations, and continuous hours specified in the Instant Booking or Custom Booking session. Additional travel or coverage hours may be added by agreement prior to the session day and must be paid in full before any photos are released to Client. Every reasonable effort will be made to take requested pictures, but no specific pose or photograph can be promised in Client's final images. Images determined by the photographer to be substandard or duplicated may be edited out. The Photographer will use her professional judgment and sole discretion to select which photos to deliver. Such selection shall constitute all images that will be made available to Client.

Copyright & Reproductions: All photographs taken by Sarah Wong Photography by Sarah Wong are her property and are protected by United States Copyright Laws (USC Title 17). The Photographer shall own the copyright in all images created and shall have the exclusive right to make reproductions for, including but not limited to, marketing materials, portfolio entries, sample products, editorial submissions and use, or for display within or on the Photographer’s website. If the Photographer desires to make other uses, the Photographer shall not do so without first obtaining the written permission of the Client. It is understood that any duplication or alteration of original images is strictly prohibited without written consent from Photographer.

Client Usage: The Client shall only use digital files in accordance with the permissions within this agreement. The Client’s prints are for organic digital campaign use and shall not be submitted to contests, reproduced for commercial use, or authorize any reproductions by parties without written consent from Consultant. If there are any copyright violations by Clients, without written consent of Consultant, Clients will be charged at the published rate + 50% at the time of the violation as liquidated damages. The Client must act in accordance with this release.

Model Release: This contract serves as a model release giving the Photographer the irrevocable right to use the photographs in all forms and in all media and in all manners, without any restriction as to changes or alterations, for advertising, trade, promotion, exhibition, or any other lawful purposes. The Photographer can grant use of the images to third parties and all compensation for use and credit for the images finished version(s) incorporating the photograph(s), or the use to which it may be applied, including written copy that may be created and appear in connection therewith. This release is binding on the Client, their legal representatives, heirs, and assigns. 

Social Media: The Client may share blog post links, Instagram posts, and Facebook posts though use of the share functions and dissemination of direct links, or in any other fashion the Photographer provides. Client shall not copy, screenshot, or capture the photographs in any other fashion other than downloading the high quality files to preserve the quality of the delivered images. Client may credit/tag Sarah Wong (@sarahwongmedia or @sarah_thebella).

Fees & Billing: This agreement supersedes any agreements, either oral or written, between the parties hereto, and contains all the covenants and agreements between the parties hereto. Any modification of this agreement will be effective only if it is in writing by the parties to be charged. This agreement is executed in Austin, Texas on the day signed.

Confidentiality: Client agrees not to disseminate or use for its own purpose, either during or after the termination of the contract, any confidential information imparted by Photographer. Photographer agrees to use reasonable controls to restrict dissemination of such information. Client understands that all information Photographer provides shall be considered sensitive and confidential unless expressly declared otherwise.
